Completing TGI’s acquisition of Insignia Sports

The Brief
TGI Sport is an end-to-end service provider within the sports industry, focused on technology, media rights, production, content creation and talent management.
TGI Sport engaged TSC Legal to advise on its purchase of Insignia Sports International Limited, to supplement its existing cricket talent agency business. TGI Sport required end to end transaction advice – from due diligence to negotiation of all transaction documents to completion of the purchase (and managing all filings required by the applicable bodies).
The Solution
We undertook legal due diligence of the target company and its group (including sellers) across its key business areas, providing TGI Sport with a report highlighting any actual and potential risks regarding the purchase and offering appropriate mitigation solutions. We also drafted and negotiated all transaction related documentation, including the SPA (featuring nuanced consideration structures), disclosure letter, employment contracts and all other ancillary documents.
As a result of the purchase, TGI Sport and Insignia together became the world’s largest cricket talent agency, representing 40% of the players performing in the 2024 edition of The Hundred.
